An LLP gives partners limited liability and contractual flexibility without a company’s audit-from-day-one overhead — the natural home for professional and services firms that are not raising equity. This page covers fit, documents, the FiLLiP process, the agreement that actually matters, and the two unforgiving annual forms.

60-second fit check: Pvt Ltd, LLP or OPC?

Four answers, an honest indication — the same first-pass logic our entity-fit memo starts from. Nothing stored.

Documents required

  • Partners: PAN, ID and recent address proof, photo; DSC for designated partners; legalised documents for foreign partners
  • Registered office: recent utility bill + rent agreement/owner NOC
  • LLP: two name options, contribution amounts and ratios, business objects

The process

  1. DSCs for designated partners
  2. Name reservation (same stripped-core + trademark discipline as companies)
  3. FiLLiP filed: partners, contribution, office, DPIN allotment built in
  4. COI issued — the LLP exists
  5. LLP agreement drafted, stamped per state duty, executed
  6. Form 3 filed within 30 days (miss this and penalties start immediately)
  7. PAN/TAN, bank account, GST/Udyam as applicable

The two-form annual reality

Form 11 by 30 May and Form 8 by 30 October — NIL activity does not excuse either, and each runs ₹100 per day late with no cap. A dormant LLP left unattended for two years owes ~₹1.4 lakh in late fees alone. The standing calendar is not an upsell; it is the product. Details: LLP annual filing.

Frequently asked questions

What does LLP registration cost?

Government fees are modest and scale with contribution; state stamp duty applies to the LLP agreement. Professional charges are scoped in writing. The recurring cost story matters more: two annual forms whose late fee is ₹100 per day each, uncapped.

How long does LLP incorporation take?

Clean FiLLiP filings commonly clear in about a week; the LLP agreement must then be filed in Form 3 within 30 days of incorporation — a deadline founders forget while celebrating.

How many partners do I need?

Minimum two designated partners, at least one resident in India. No upper limit.

Is audit mandatory for an LLP?

Only after crossing ₹40 lakh turnover or ₹25 lakh contribution — below that, partner certification suffices. This is the LLP’s honest cost advantage over a company.

Can an LLP raise investment from VCs?

Not by issuing shares — institutional equity needs a company. If fundraising is on the roadmap, incorporate a Pvt Ltd or plan conversion deliberately.

What goes into the LLP agreement?

Capital and profit ratios, drawings, admission/retirement/expulsion, duties, deadlock and dispute mechanics. A template with names swapped is how partner disputes start — draft it like the constitution it is.

What are Form 11 and Form 8?

Form 11 (annual return of partners) due 30 May; Form 8 (statement of account and solvency) due 30 October — every year, active or dormant, each at ₹100/day late, without cap.

Can a company or foreign national be a partner?

Bodies corporate can be partners; foreign nationals/NRIs can too with documentation legalised — and FDI in LLPs has its own conditions worth checking before money moves.

DPIN/DIN — do partners need one?

Designated partners need DPINs, allotted through the incorporation filing itself for new cases.

Can we convert our partnership firm into an LLP?

Yes — a defined conversion route exists preserving continuity; tax neutrality has conditions. Worth a short memo before, not after.

Does an LLP file income-tax returns?

Yes — LLP ITR annually (audit where thresholds cross), with partner remuneration/interest per the deed within Income-tax limits.

What if we never filed Forms 11/8 since incorporation?

The meter has been running at ₹100/day/form — compute honestly, file, and evaluate whether the LLP should continue or wind down. Our LLP annual-filing service quotes the true number upfront.

Can LLPs do any business?

Most — some regulated activities require company form or licences. The fit check flags sectoral issues before filing.

GST for an LLP — automatic?

No — GST follows turnover/activity like any entity; incorporation and GST registration are separate steps often done together.

Why choose LLP over just staying a partnership firm?

Limited liability and a registry-backed existence, at a modest compliance premium — for client-facing services firms the credibility usually justifies it; the comparison guide linked above runs the numbers.

Forming an LLP — or rescuing one from late fees?

Share your partner structure and plans; fit, documents, agreement terms and the annual calendar are set out in writing before filing. Backlogged LLPs get the honest arithmetic first.
