Last reviewed: 25 September 2026. The annual DIR-3 KYC ritual has eased. The Companies (Appointment and Qualification of Directors) Amendment Rules, 2025 (G.S.R. 943(E), notified 31 December 2025) made director KYC a once-in-three-years filing with effect from 31 March 2026. This guide explains exactly what changed, who must file, the new single DIR-3 KYC Web form, your next due date, the documents needed, and the penalty if a DIN gets deactivated.

Who needs to file and how

Anyone holding a DIN as on 31 March must keep it KYC-compliant to be able to sign company filings - whether or not the DIN is currently in use. From 31 March 2026 there is one unified form, DIR-3 KYC Web, verified by OTP on the registered mobile and email; the separate DIR-3 KYC e-form and DIR-3 KYC-WEB no longer exist. Any change in personal mobile number, email address or residential address must be reported through DIR-3 KYC Web within 30 days of the change (other changes in DIN particulars continue through DIR-6 as applicable). Whether a DSC and professional certification are needed depends on the case; follow the current form instructions on the MCA portal.

Documents you will need

  • PAN and Aadhaar, with details matching the DIN records.

  • A valid digital signature certificate where the form requires it (and passport for foreign nationals).

Foreign-national directors

A foreign national holding a DIN follows the same three-year cycle and files the same DIR-3 KYC Web form. Aadhaar does not apply; the passport is the identity document, and the details must match those on the DIN record. Keep the registered mobile and email reachable for the OTP, and plan ahead where documents have to be notarised or apostilled abroad.

If your DIN is deactivated

A missed KYC deactivates the DIN with the reason 'Non-filing of DIR-3 KYC', after which you cannot sign any MCA form. Reactivation is simple but not free: file the pending KYC and pay the flat Rs 5,000 fee. Restore it before you next need to sign an ROC filing.

Frequently asked questions

Is DIR-3 KYC now once every three years?

Yes. The Companies (Appointment and Qualification of Directors) Amendment Rules, 2025 (G.S.R. 943(E) dated 31 December 2025, effective 31 March 2026) substituted Rule 12A. Every DIN holder now files KYC in Form DIR-3 KYC Web once every three consecutive financial years, on or before 30 June of the year immediately following the third financial year.

When is my next DIR-3 KYC due?

Directors who completed KYC for FY 2025-26 or earlier are next due by 30 June 2028. A DIN allotted during FY 2025-26 files its first KYC by 30 June 2029. In any filing year, the due date is 30 June.

Who has to do DIR-3 KYC?

Every person holding a Director Identification Number (DIN) as on 31 March of the relevant year, whether or not they are currently a director, and whether the DIN is used or not.

Is there still a separate DIR-3 KYC form and web KYC?

No. From 31 March 2026 the DIR-3 KYC e-form and DIR-3 KYC-WEB were merged into one unified form, DIR-3 KYC Web. It is used both for the three-yearly KYC and for reporting a change in personal mobile number, email address or residential address, which must be filed within 30 days of the change.

What is the penalty for missing DIR-3 KYC?

The DIN is deactivated with the reason 'Non-filing of DIR-3 KYC', and a flat late fee of Rs 5,000 is payable to reactivate it by filing the KYC.

What happens if my DIN is deactivated?

You cannot sign or file any company forms with a deactivated DIN. It is reactivated only after you file the pending KYC and pay the Rs 5,000 fee.

What documents and details are needed?

PAN and Aadhaar, personal mobile and email for OTP verification, a digital signature certificate where the form requires it, and for foreign nationals a passport. Details must match the DIN records.

Do I need to file if I am no longer a director?

Yes. KYC is linked to holding a DIN, not to a current directorship - so even a resigned or non-appointed DIN holder must keep KYC current.

Does DIR-3 KYC Web need a DSC or professional certification?

Verification is by OTP on the registered mobile and email. Whether the director's DSC and certification by a practising CA/CS/CMA are also needed depends on the case, for example where personal details are being changed. Follow the current form instructions on the MCA portal, or check with us before filing.

How do I make sure I never miss it under the new cycle?

Note your applicable three-year due date (30 June 2028 or 2029 as the case may be), keep your registered mobile and email active for OTP, report any change in mobile, email or address within 30 days, and reactivate promptly if the DIN was already deactivated.
