Services for clients across India. Applicable state, sector and professional requirements are assessed before an engagement.
A company that has served its purpose should exit the register cleanly — strike-off under Section 248 — rather than sit defaulting into director disqualification. The filing is one form; the readiness (accounts, liabilities extinguished, statement of affairs, closures) is the actual work.
When this service is typically required
- The business never started, or stopped and will not resume
- Compliance costs on a dormant shell exceed any reason to keep it
- Directors face growing exposure from accumulated defaults
- A group is simplifying: shells consolidated or closed before diligence
Indicative scope
- Eligibility check: activity history, assets/liabilities, pending proceedings
- Pre-conditions: bank closure, liability extinguishment, overdue filings evaluated
- STK-2 with statement of accounts and affidavits/indemnities
- Objection handling through the ROC process
- Alternative advice where strike-off does not fit (dormant status, liquidation routes)

Deliverables
The eligibility memo, filed STK-2 with annexures, publication tracking, and the closure file (final accounts, indemnities, dissolution evidence).
Information and documents generally required
Financials since inception/last activity, bank closure proofs, PAN, board/member approvals, litigation confirmations, and pending-filing status.
Engagement process
Client responsibilities, assumptions and reliance
Affidavits and indemnities are the directors' personal statements — accuracy is theirs; the readiness work exists so they can sign truthfully.
Scope exclusions
Liquidation/insolvency proceedings, revival of struck-off companies, and disputes with creditors (which strike-off cannot bypass).
Frequently asked questions
Can we strike off with pending annual filings?
The ROC's practice expects filings brought current up to closure — evaluated case-wise, and CCFS-2026 pricing (while open) can make that cure dramatically cheaper. The memo prices the true all-in cost.
Does strike-off erase liabilities?
No — liabilities must be NIL before filing, and directors' obligations for past acts survive dissolution. It closes a clean company, not a troubled one.
How long does it take?
The ROC's process includes public notice windows — months, not weeks, and its pace is the registrar's. The controllable part is a defect-free application.
Company vs LLP closure — same process?
Parallel concepts, different forms and conditions — LLP closure runs its own route, handled under the same engagement family.
The applicable scope, documentation, professional responsibilities and timelines are agreed in an engagement letter before commencement.
